SPIRES (Langham) Management Company Ltd
The Company is limited by guarantee and because it exists solely for the maintenance of the 2 communal areas of land on the development, it is nontrading and non-profit making. The 2 areas of land are:-
- The Open Space (behind numbers 1, 3, 5, and 7 Ruddle Way)
- The Wildlife Corridor (entrance between numbers 35 and 37 Ruddle Way, the area is behind numbers 35 to 47)
The management of these requires funds, so all 53 properties on the SPIRES Development are Covenanted to the Company.
For a Property to be transferred to a new owner, several requirements must be met. These are:-
- A fully completed and witnessed "Deed of Covenant". The "Deed of Covenant" was set up and agreed to by the original Purchaser. The purchaser agrees not to sell the property without also passing on the "Deed of Covenant". In this way, the position of the Company is maintained. This perpetuates the Covenant for the future.
- The completed list of any details about the new property owner.
- Transfer Fee, £250.00 from Jan 2021 onwards will be charged for the transfer documentation. Payable by the seller.
The Company was passed over to the Residents by the Developer (Wimpey Homes, managed on their behalf by CPM Asset Management) at the end of 2006. The first year for the Residents to run it was 2007. The new Directors decided to manage the company themselves so terminated the contract with CPM. Unfortunately, the records received from CPM were very incomplete so the Directors set out to more or less completely rebuild the Company's Data. At present there are 2 Directors for the Company.

The directors are supported by a company secretary-Helen Duckering. Helen takes the post from 1st October 2021.
The Directors run the Company on a voluntary basis.
They have 3 aims in common:-
- To keep the Management Charge suffient to cover all reasonable cost associated with the management of these areas. These costs include, insurance, bi-annual tree inspections, tree surgery, maintenance, grass cutting and administrative costs.
- To maintain and nurture the parcels of land for the benefit of the members.
- Maintain efficiency in all its dealings and to retain the ownership of the Company's data on behalf of the members.
It is possible that in principle, the SPIRES Company acts as a type of 'Residents' Association'.
SPIRES (Langham) MCL - Legal Responsibilities
Clause 13K in the Purchase Contract (for the affordable dwellings it is Clause 13L) Covenants the Management Company (Wording from the purchase Contract) as follows:- The Management Company hereby covenants with the Transferor and the Transferee as follows:-
- To maintain tidy and cultivate including keeping cut all grass within the Amenity Areas:-
- To keep the Amenity Areas insured against public and third party liability and such other risks as the Management Company shall in its absolute discretion deem necessary with an Insurance Office of good repute.
- To make all payments necessary for the above purpose within seven days after the same shall become due.
- To produce to the Transferee on demand the Policy of such insurance and the receipt for each such payment.
- To cause all monies received by virtue of such insurance to be forthwith expended in reinstating the Amenity Areas or for the payment of any claim arising from Public and Third Party Liability.
- To make up out of the Management Company's own monies any deficiency in the monies required to complete such reinstatement or claim arising from such Public and Third Party Liability.
- To pay all rates taxes assessment and outgoings charged imposed or assessed in respect of the Amenity Areas.
- Upon receipt of any Deed of Covenant and application made pursuant to subparagraph 12 (b) of clause 13G to consent immediately in writing to the registration of the person named therein as proprietor at H M Land Registry.
- To comply with the covenants by the Management Company in any Transfer of the Amenity Areas now or hereafter made.
